Acceptance of Terms

By using our platform, you agree to these terms. Please read them carefully.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Billwox ("we", "us", or "our") governing your access to and use of our platform.
By creating an account, accessing the platform, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you register an account on behalf of a company, partnership, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Service Description

What the platform provides — invoicing, billing, POS, storefronts, and business management.

Billwox is a cloud-based business platform that provides invoicing, estimates, receipts, expense tracking, POS checkout, online storefronts, payment links, team collaboration, client management, product catalog management, job posting, reporting, and related business management tools.
Payment processing is facilitated through third-party payment gateways (Paystack, Flutterwave, and Stripe). You may also add your bank account details to invoices and estimates for direct bank transfers. We are not a payment processor and do not handle or store card details.
The platform is provided as a web application accessible through modern browsers. We do not currently offer a native mobile app, though the platform is optimized for mobile browsers.
We may introduce, modify, or discontinue features at our discretion. We will provide reasonable notice for material changes that affect your use of the platform.

Account Registration & Security

You are responsible for your credentials and activity within your workspace.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the accuracy of your business details, contact information, and tax identifiers.
You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Contact us immediately at support@billwox.com if you suspect unauthorized access to your workspace.
Your workspace may include multiple team members with different roles (Owner, Admin, Accountant, Sales, Clerk, Viewer). You are responsible for managing your team members' access and permissions. The workspace Owner is responsible for all team member activity.
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

Subscriptions, Pricing & Payments

Transparent billing with a free plan, paid tiers, and pay-as-you-go tokens.

Free Plan: All users start on our Free plan, which includes a monthly allowance of invoices, estimates, receipts, expenses, and clients at no cost and with no credit card required. The Free plan is available indefinitely.
Paid Subscriptions: Paid tiers (Individual, Pro, Business) are billed in advance on a monthly or annual cadence. Annual plans include a 12% discount. Subscription fees are non-refundable except as described below.
Pay-As-You-Go Tokens: If you exceed your monthly plan allowance, you may purchase top-up tokens to unlock additional usage. Token pricing is displayed in your dashboard.
Plan Upgrades: You may upgrade your plan at any time. Upgrades take effect immediately and you gain instant access to the new plan's features.
No Downgrades: Plans cannot be downgraded. If you no longer need your current plan, you may cancel your subscription and continue using the platform on the Free plan after your billing period ends.
Cancellation: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No cancellation fees apply.
Refunds: Subscription payments are generally non-refundable. If you believe you were charged in error, contact our support team and we will review your case.
Price Changes: We may adjust pricing for future billing cycles. We will notify you at least 30 days before any price increase takes effect. Continued use after the change constitutes acceptance.

Acceptable Use

Use the platform lawfully and responsibly. Do not misuse our services.

You agree to use the platform only for lawful business purposes and in compliance with all applicable laws and regulations.
You may not use the platform to: create or send fraudulent invoices or financial documents; sell prohibited, illegal, or counterfeit goods through storefronts; engage in money laundering, terrorist financing, or other financial crimes; harass, abuse, or harm other users or their clients.
You may not: reverse engineer, decompile, or attempt to extract the source code of the platform; interfere with or disrupt the platform's infrastructure, security mechanisms, or other users' access; use automated tools (bots, scrapers, crawlers) to access the platform without our written permission; resell or sublicense access to the platform unless authorized.
We reserve the right to suspend or terminate accounts that violate this Acceptable Use policy, with or without notice depending on the severity of the violation.

Intellectual Property & Data Ownership

You own your data. We own the platform. A clear, fair separation.

Your Data: You retain all ownership rights to the data you enter into the platform — including invoices, estimates, receipts, client records, product catalogs, expense records, business branding, logos, and storefront content. We claim no ownership over your data.
License to Operate: By using the platform, you grant us a limited, non-exclusive license to host, process, display, and transmit your data solely as necessary to provide the services — for example, generating PDF invoices, displaying your storefront to buyers, and sending emails to your clients on your behalf.
Billwox Intellectual Property: The platform's software, user interface designs, logos, branding, algorithms, and documentation are proprietary to Billwox and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the right to use the platform as a subscriber.
Feedback: If you provide suggestions, feature requests, or other feedback, we may use it to improve the platform without obligation to you.

Privacy & Data Processing

Your privacy matters. Our Privacy Policy explains how we handle your data.

Our collection, use, and protection of your personal and business data is governed by our Privacy Policy, available at billwox.com/privacy. By using the platform, you agree to the practices described in that policy.
When you use the platform to send invoices, estimates, or receipts to your clients, you are responsible for ensuring that your collection and use of your clients' personal data complies with applicable privacy laws (such as GDPR, CCPA, or NDPR).
We act as a data processor on your behalf when handling your clients' data for invoice delivery, payment processing, and related services. You remain the data controller for your clients' information.

Third-Party Services

We integrate with payment gateways and other services that have their own terms.

The platform integrates with third-party payment gateways (Paystack, Flutterwave, Stripe) to process online payments. Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the actions, availability, or policies of third-party providers.
When you connect a payment gateway, you authorize us to share necessary transaction data (invoice amounts, currency, client details) with that provider to facilitate payment processing.
We may use third-party services for email delivery, cloud hosting, and other infrastructure needs. These providers process data under contractual obligations that protect your information.

Disclaimers & Warranties

We strive for reliability but provide the service on an "as is" basis.

The platform is provided on an "as is" and "as available" basis. While we strive for high availability and reliability, we do not guarantee uninterrupted, error-free, or completely secure access at all times.
We make no warranties, express or implied, regarding the platform, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not a financial advisor, accountant, or tax professional. The platform provides tools for invoicing, billing, and expense tracking, but it does not constitute financial, legal, or tax advice. You are responsible for ensuring your use of the platform complies with applicable tax and accounting regulations.
We do not guarantee that payment gateways will process every transaction successfully. Payment failures may occur due to reasons outside our control (insufficient funds, bank declines, gateway outages).

Limitation of Liability

Our liability is capped at the fees you paid. We are not liable for indirect damages.

To the maximum extent permitted by applicable law, Billwox's total aggregate liability for any claims arising out of or related to these Terms or your use of the platform shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, regardless of whether we were advised of the possibility of such damages.
We are not liable for service interruptions or losses caused by: third-party payment gateway outages or errors; internet connectivity issues; force majeure events (natural disasters, government actions, pandemics); or your failure to maintain the security of your account credentials.

Indemnification

You agree to hold us harmless from claims arising from your misuse of the platform.

You agree to indemnify, defend, and hold harmless Billwox, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: your violation of these Terms; your misuse of the platform; your violation of any applicable law or regulation; your infringement of any third party's rights; or the content you upload, publish, or transmit through the platform (including storefront listings and invoice content).

Termination

You can close your account anytime. We may terminate accounts that violate our terms.

You may terminate your account at any time from your account settings. Before closing your account, we recommend exporting your data (invoices, receipts, reports) as PDF files.
We reserve the right to suspend or terminate accounts that: violate these Terms or our Acceptable Use policy; engage in fraudulent or illegal activity; remain abandoned with delinquent payment balances; or pose a risk to the platform's security or other users.
Upon termination, your right to access the platform ceases. We may retain your data for a limited period to allow reactivation, after which it will be permanently deleted in accordance with our Privacy Policy.
Sections that by their nature should survive termination (intellectual property, limitation of liability, indemnification, dispute resolution) will remain in effect.

Dispute Resolution & Governing Law

How disputes are handled and which laws govern these terms.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
In the event of a dispute arising from these Terms or your use of the platform, both parties agree to first attempt resolution through good-faith negotiation. Either party may initiate this by sending a written notice describing the dispute to the other party.
If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or the competent courts, as permitted by applicable law.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

Changes to These Terms

We may update these terms. Material changes are communicated in advance.

We may revise these Terms from time to time to reflect changes to the platform, our business practices, or applicable law. When we make changes, we update the "Last revised" date at the top of this page.
For material changes that significantly affect your rights or obligations, we will notify you via your registered email address or through a prominent notice in the platform at least 30 days before the changes take effect.
Your continued use of the platform after updated Terms take effect constitutes acceptance. If you disagree with the changes, you may close your account and export your data before the effective date.
